If you are entering into this Agreement on behalf of a company or entity, you represent that you have the authority to bind that entity. If you do not have such authority, or if you do not agree to these Terms, you must not use our Website or Platform.

1) INTRODUCTION TO FINANCEOPS AND OUR PLATFORM

FinanceOps is an autonomous finance operations platform designed to manage debt collections, dispute management, payment processing, and real-time credit risk monitoring.

2) PRIVACY POLICY

Our Privacy Policy describes how we handle the personal and business information you provide when using our Website or Platform. By using our Platform, you consent to the collection and use of this information, including its transfer to the United States or other countries for storage, processing, and use by FinanceOps.

3) ELIGIBILITY & ACCESS RESTRICTIONS

To be eligible to use our Website or Platform, you must:
(a) Be 18 years of age or older;
(b) Not be prohibited from using our Platform;
(c) Not use our Platform for purposes in competition with us;
(d) Not maintain more than one registered account at any time;
(e) Have full authority to enter into this Agreement;
(f) Not violate any intellectual property rights or applicable laws; and
(g) Provide all necessary equipment, browser software, and internet access for using our Website or Platform.

4) SERVICE LICENSE

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Platform in compliance with these Terms. This license is for your personal or business use only and may not be sublicensed or transferred to others.

You may not:

  • Use, modify, or distribute the Platform except as permitted in this Agreement;

  • Access the Platform in violation of applicable laws or by unauthorized methods (e.g., automated software, scripts, etc.);

  • Engage in any activity that interferes with or disrupts the proper functioning of our Platform.

5) TERMINATION

Termination for Cause: You may only terminate this Agreement if FinanceOps materially breaches the Agreement and fails to resolve such breach within 30 days of written notice. Termination without cause is not allowed.

Termination Notice: If you terminate for cause, you must provide us with 90 days’ written notice.

FinanceOps Right to Terminate: We reserve the right to terminate your access to the Platform for any breach of this Agreement or Privacy Policy, or if providing service is no longer commercially viable. We will make reasonable efforts to notify you in advance by email if this occurs.

Survival: All sections intended to survive termination, including indemnity and limitation of liability, will continue in full force after termination.

6) AUTO-RENEWAL OF SERVICES

This Agreement automatically renews at the end of each term unless either party provides written notice of cancellation at least 1 month before the end of the current term. Failure to provide timely notice will result in the Agreement renewing for another term under the same terms and conditions.


7) LOGO RIGHTS

By using our Platform, you grant FinanceOps the right to display your company logo on our Website and marketing materials as a client. If you wish to revoke this right, please notify us in writing, and we will remove your logo within 30 days.

8) PAYMENT TERMS

You agree to pay any fees specified in the subscription plan for using the Platform. FinanceOps may modify fees at any time, provided we give you at least 30 days’ notice before any new fees take effect. Your continued use of the Platform after the notice period constitutes acceptance of the new fees.

9) INDEMNIFICATION

You agree to indemnify and hold harmless FinanceOps, its officers, employees, and agents, from any and all claims, damages, losses, or expenses (including attorney fees) arising from your use of the Platform, your breach of this Agreement, or violations of applicable laws.

10) LIMITATION OF LIABILITY

FinanceOps will not be liable for any indirect, special, incidental, or consequential damages resulting from your use of the Platform. Our maximum liability in any case will not exceed the fees paid by you for the use of the Platform in the 12 months preceding the event giving rise to the claim.

11) DISCLAIMER OF WARRANTIES

The Platform is provided "AS IS" and "AS AVAILABLE," without warranties of any kind. We disclaim any warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Platform will be error-free or uninterrupted.

12) DISPUTE RESOLUTION AND ARBITRATION

Binding Arbitration: You and FinanceOps agree to resolve any disputes arising out of or related to this Agreement through binding arbitration, not in court. Arbitration will be conducted in Santa Clara County, California, according to the rules of the American Arbitration Association (AAA).

Class Action Waiver: You agree that any dispute will be resolved on an individual basis, and you waive the right to participate in any class actions or representative proceedings.

Opt-Out Right: You have the right to opt out of arbitration within 30 days of agreeing to these Terms by sending a written notice to FinanceOps, 13001 Hymeadow Dr, Austin, TX 78729.



13) COPYRIGHT INFRINGEMENT/DMCA NOTICE

If you believe content on our Platform violates your copyright, you may file a DMCA Takedown Notice with our designated Copyright Agent:

15) GOVERNING LAW

This Agreement is governed by the laws of the State of Delaware, without respect to its conflict of laws principles. The courts of Santa Clara County, California will have exclusive jurisdiction over any non-arbitrable disputes.

16) MISCELLANEOUS

This Agreement constitutes the entire agreement between you and FinanceOps. If any provision is found invalid, the rest of the Agreement will remain in effect. Any waiver of a breach of this Agreement must be in writing. Failure to enforce any provision does not constitute a waiver of future enforcement.

17) MODIFICATIONS

We may modify these Terms at any time by posting changes to our Website. You are responsible for regularly reviewing these Terms. Your continued use of the Platform after changes are posted constitutes your acceptance of the modified
